1. Agreement to Terms

By accessing or using Qubeys ("the Service"), including our mobile application (iOS and Android) and website (qubeys.com), you agree to be bound by these Terms of Service. If you disagree with any part of these terms, you may not use our Service.

2. Description of Service

Qubeys provides two primary services:

  • Mobile App: A platform for customers to browse restaurant menus, including allergen and additive information
  • Web Platform: A menu upload and management system for restaurant owners, powered by AI technology

3. Content Licensing and Rights

3.1 Restaurant Owner Content

By uploading menu content, photographs, or any other materials to Qubeys, you represent and warrant that:

  • You own all rights to the content or have obtained all necessary permissions
  • The content does not infringe any third-party intellectual property rights
  • The content is accurate and does not contain false or misleading information
  • You have the authority to grant the licenses described below

3.2 License Grant

By uploading content to Qubeys, you grant us a worldwide, non-exclusive, royalty-free, sublicensable, and transferable license to use, reproduce, distribute, prepare derivative works of, display, and perform your content in connection with the Service. This includes but is not limited to:

  • Displaying your restaurant menus on our mobile applications and website
  • Processing your content through AI services (Anthropic Claude) for data extraction
  • Storing your content on our database servers (Supabase)
  • Making your content searchable and accessible to app users
  • Using your content for service improvements and quality assurance

3.3 Content Removal

You may request removal of your content at any time by contacting us at info@qubeys.com. We will remove your content within 30 days of receiving such request, except where retention is required by law.

4. User Responsibilities

4.1 Restaurant Owners

You agree to:

  • Provide accurate and up-to-date menu information, including prices and allergen data
  • Update menu information promptly when changes occur
  • Maintain the confidentiality of your access token
  • Not upload content that violates any laws or third-party rights
  • Not use the Service for any unlawful or fraudulent purposes
  • Ensure allergen and additive information is accurate and compliant with applicable food safety regulations

4.2 Mobile App Users

You agree to:

  • Use the app for personal, non-commercial purposes only
  • Not attempt to reverse engineer, decompile, or hack the app
  • Not scrape or extract data from the app in violation of these terms
  • Verify allergen information directly with restaurants when necessary for health and safety

5. Intellectual Property

The Qubeys Service, including its original content, features, and functionality, is owned by Qubeys and is protected by international copyright, trademark, patent, trade secret, and other intellectual property laws.

"Qubeys" and our logo are trademarks of Qubeys. You may not use these marks without our prior written permission.

6. Disclaimers and Limitations of Liability

6.1 No Warranty

THE SERVICE IS PROVIDED "AS IS" AND "AS AVAILABLE" WITHOUT WARRANTIES OF ANY KIND, EITHER EXPRESS OR IMPLIED, INCLUDING BUT NOT LIMITED TO WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, OR NON-INFRINGEMENT.

6.2 Accuracy of Information

While we use AI technology to process menu data accurately, we do not guarantee:

  • Complete accuracy of allergen or additive information
  • Up-to-date pricing or menu availability
  • Correct interpretation of uploaded menu documents

Users with food allergies or dietary restrictions should always verify information directly with the restaurant.

6.3 Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY LAW, QUBEYS SHALL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, OR ANY LOSS OF PROFITS OR REVENUES, WHETHER INCURRED DIRECTLY OR INDIRECTLY, OR ANY LOSS OF DATA, USE, GOODWILL, OR OTHER INTANGIBLE LOSSES RESULTING FROM:

  • Your use or inability to use the Service
  • Any unauthorized access to or use of our servers or personal information
  • Any interruption or cessation of transmission to or from the Service
  • Any bugs, viruses, or malicious code transmitted through the Service
  • Any errors or omissions in content or any loss or damage incurred as a result of your use of content
  • Allergic reactions or health issues resulting from reliance on menu information

7. Indemnification

You agree to indemnify, defend, and hold harmless Qubeys and its officers, directors, employees, and agents from any claims, liabilities, damages, losses, and expenses, including reasonable attorneys' fees, arising out of or in any way connected with your access to or use of the Service, your violation of these Terms, or your infringement of any intellectual property or other rights of any person or entity.

8. Service Availability

We do not guarantee that the Service will be available at all times or without interruption. We may suspend, withdraw, or restrict the availability of all or any part of the Service for business or operational reasons. We will attempt to provide reasonable notice of any planned maintenance or downtime.

9. Account Termination

We reserve the right to terminate or suspend your access to the Service immediately, without prior notice or liability, for any reason, including but not limited to:

  • Breach of these Terms of Service
  • Provision of false or misleading information
  • Engaging in fraudulent or illegal activities
  • Violation of any applicable laws or regulations

Upon termination, your right to use the Service will cease immediately. You may also request deletion of your account and data by contacting us at info@qubeys.com.

10. Third-Party Services

Our Service uses third-party services including:

  • Supabase: Database hosting and authentication
  • Anthropic Claude: AI-powered menu data extraction
  • Vercel: Website hosting and infrastructure

These third-party services have their own terms and privacy policies. We are not responsible for the practices of these services, and you should review their terms before using our Service.

11. Changes to Terms

We reserve the right to modify or replace these Terms at any time at our sole discretion. If a revision is material, we will provide at least 30 days' notice before any new terms take effect. What constitutes a material change will be determined at our sole discretion. By continuing to access or use our Service after those revisions become effective, you agree to be bound by the revised terms.

12. Governing Law and Dispute Resolution

These Terms shall be governed by and construed in accordance with the laws of Germany, without regard to its conflict of law provisions.

Any disputes arising out of or relating to these Terms or the Service shall be resolved through good faith negotiations. If a dispute cannot be resolved through negotiation, it shall be subject to the exclusive jurisdiction of the courts located in Germany.

13. Severability

If any provision of these Terms is held to be invalid or unenforceable, the remaining provisions will continue in full force and effect. The invalid or unenforceable provision will be replaced with a valid provision that most closely matches the intent of the original provision.

14. Entire Agreement

These Terms, together with our Privacy Policy, constitute the entire agreement between you and Qubeys regarding the use of the Service and supersede any prior agreements between you and Qubeys relating to your use of the Service.
